Terms Of Service
1. Scope of Professional Services Seaside Branding provides comprehensive engineering for large-scale public experiences, structured through our proprietary three-tier system: The Manifestation (ideation and creative concepts), The Translation (spatial layout and environmental design), and The Activation (live production and final execution). Our responsibilities are strictly limited to the tasks defined in the specific Statement of Work (SOW) or Service Agreement. We do not guarantee specific financial outcomes, as event success depends on market conditions and audience behavior beyond our control.
2. Financial Obligations and Payment Schedule To ensure logistical stability and secure third-party vendor commitments, the following payment structure applies to all projects:
- Deposit: A 40% non-refundable deposit is due immediately upon signing to cover upfront logistical costs.
- Milestones: Remaining payments are staggered at 90, 60, and 30 days prior to the event date.
- Default: Failure to meet payment milestones grants Seaside Branding the right to suspend services or cancel third-party contracts at the client’s expense.
- Currency: All transactions within the Romanian jurisdiction are processed in Romanian Lei (RON).
3. Cancellation, Mitigation, and Force Majeure
- Cancellation: If a client cancels an event, they are responsible for a sliding scale of cancellation fees and all non-cancelable costs. Seaside Branding will act in good faith to mitigate damages by attempting to reallocate labor or resources to other projects.
- Force Majeure: Either party may terminate the agreement without penalty due to unforeseeable events, including but not limited to pandemics, government-ordered shutdowns, extreme weather, or acts of terrorism. In such cases, Seaside Branding must be reimbursed for all work performed and expenses incurred up to the termination date.
4. Intellectual Property and Proprietary Methodologies
- Ownership: Seaside Branding retains exclusive ownership of all proprietary systems, project management frameworks, and “ideas to reality” methodologies developed during the course of the engagement.
- Deliverables: Upon final payment, clients are granted a license to use event-specific branding assets solely for the purposes defined in the SOW.
5. Zoom In Film Festival (ZIFF) Submissions By submitting content to zoomin-filmfest.com, filmmakers and creators agree to the following:
- License Grant: You grant ZIFF an irrevocable, non-exclusive license to screen the work during the festival and use clips for promotional purposes in perpetuity.
- Chain of Title: The submitter warrants they hold the full “Chain of Title,” having cleared all necessary rights for music, actor releases, and location permits.
- Indemnification: The submitter shall indemnify Seaside Branding against any third-party claims of intellectual property infringement.
- Idea Submission: ZIFF receives numerous entries; any similarity between a submission and future ZIFF productions is coincidental and does not create a fiduciary or confidential relationship.
6. Media Release and Crowd Consent Seaside Branding events are inherently public spectacles designed for high-velocity media impact.
- Crowd Release: Entry into the event premises constitutes informed consent to be photographed, filmed, or otherwise recorded for use in any media for eternity.
- Notices: “Crowd Release Notices” will be prominently posted at eye level at all venue entrances to ensure awareness.
- Individual Releases: Principal participants (speakers, judges, featured talent) must sign separate, individual Model/Appearance Releases.
7. Liability, Indemnification, and Insurance
- Limitation of Liability: Seaside Branding’s total liability for any claim is strictly limited to the total fees paid under the specific SOW. We are not liable for indirect, incidental, or consequential damages.
- Indemnification: The client agrees to indemnify Seaside Branding against claims arising from client negligence, guest conduct, or breach of contract.
- Insurance: Clients must maintain adequate event insurance and name Seaside Branding as an “Additional Insured” on all relevant policies.
8. Health, Safety, and Compliance Seaside Branding and the client share responsibility for ensuring event premises meet local health and safety regulations. This includes adhering to ADA/accessibility requirements and ensuring safe crowd dynamics for massive public gatherings.
9. Governing Law and Jurisdiction These terms are governed by and construed in accordance with the laws of Romania. Any disputes arising under this agreement that cannot be settled amicably shall be submitted to the exclusive jurisdiction of the competent courts in Bucharest.
